Terms of Service

1. The service

Venture Agent is software that helps e-commerce merchants handle customer support and store operations with AI. It connects to the stores and tools you authorize and produces drafts, replies, analyses and content for you to review. We keep improving Venture Agent, so features may change over time.

2. Accounts

• Give us accurate information and keep it up to date.
• Keep your login details secure. You are responsible for activity under your account and your team's accounts.
• Tell us promptly if you suspect unauthorized access.

3. Service availability

We do not provide Venture Agent products or services to individuals or entities located in the following countries or regions:

• Afghanistan, Belarus, mainland China, Cuba, Hong Kong, Iran, Macao, Myanmar, North Korea, Russia, Sudan, Syria, Venezuela and Yemen.
• The Crimea, Donetsk, Kherson, Luhansk and Zaporizhzhia regions of Ukraine.

We also do not provide services where doing so is prohibited by applicable sanctions or export-control laws. You must not use the service from a restricted location or provide access to it on behalf of anyone in a restricted location.

4. Your data

You keep all rights to the data you connect or upload, including store, order and shopper data ("Customer Data"). You give us permission to host, process and transmit Customer Data only as needed to provide, secure and support the service, as described in our Privacy Policy. You are responsible for having the rights and any notices or consents needed to share Customer Data with us. We do not sell Customer Data or use it to train AI models. A data processing agreement is available on request.

5. AI output and your review

AI-generated output can be incomplete or wrong. You are responsible for reviewing drafts before you publish, send or act on them, and for the replies you allow Venture Agent to send automatically. Venture Agent routes refunds, complaints, payment issues, address changes and privacy requests to a person, but you remain responsible for decisions about your store and your customers. Output is provided for your business use and does not constitute legal, tax or financial advice.

6. Acceptable use

You agree not to use Venture Agent to:

• break the law, or infringe or misappropriate anyone's rights;
• send spam, or deceptive, harassing or harmful messages;
• make false claims about products, earnings, health effects or endorsements;
• process data you are not allowed to process, or payment card data;
• break the usage policies of the AI model providers and platforms the service relies on;
• probe, disrupt or overload the service, or try to get around its limits or safeguards;
• copy, resell or reverse engineer the service, except where the law allows it.

We may suspend use that breaks these rules or puts the service, other users or shoppers at risk.

7. Product inquiries and plans

• Creating a website account is free. It lets you save contact details and communicate with our team.
• A product or plan inquiry is a request to discuss your requirements. It does not create a paid order or subscription.
• This website does not process payments. Product access, trial arrangements and any commercial terms are confirmed separately with our team.

8. Third-party services

Venture Agent works with services we don't control, such as Shopify, WooCommerce and email providers. Your use of those services is governed by their own terms. We are not responsible for them or for changes they make that affect Venture Agent.

9. Our intellectual property

We own the Venture Agent software, website and brand. We give you a limited, non-exclusive, non-transferable right to use the service during your subscription. If you send us feedback, we may use it without obligation to you.

10. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only for the purposes of this agreement.

11. Disclaimers

The service is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the service or its output will be uninterrupted, error-free or produce particular business results.

12. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the 12 months before the claim.

13. Indemnity

You will defend and indemnify us against third-party claims arising from Customer Data you provide or from your use of the service in breach of these terms.

14. Term and termination

These terms apply while you use Venture Agent. Either party may end them by closing the account or giving notice. We may suspend or end access for a material breach. When your account closes, we delete Customer Data as described in our Privacy Policy.

15. Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory law gives you rights to bring a claim elsewhere. Nothing in these terms limits rights that cannot be excluded by law.

16. Changes

We may update these terms. We will post the new version here and update the date above. If changes are material, we will notify merchants by email at least 30 days before they take effect.
